1. Agreement to These Terms
These Terms of Service (“Terms”) govern your access to and use of the websites, platform, applications, content, and related services (collectively, the “Service”) offered by Core Learning Exchange (“Core-LX,” “we,” “us,” or “our”), including corelearningexchange.com and the learning platform at cte.core-lx.com. By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.
If you use the Service on behalf of a school, district, institution, or organization, you represent that you are authorized to accept these Terms on its behalf. Where an institution has entered into a separate written subscription agreement, master services agreement, or data privacy agreement with Core-LX (an “Institutional Agreement”), that agreement governs and controls over any conflicting provision of these Terms for that institution and its authorized users.
2. Definitions
- “Institution” means a school, district, college, publisher, or other organization that subscribes to or is authorized to use the Service.
- “Educator” means a teacher, instructor, administrator, or staff member authorized by an Institution.
- “Student” means an end user who accesses the Service to learn, typically through an Institution.
- “User,” “you” means any person who accesses the Service, including Educators, Students, and individual visitors.
- “User Content” means content Users submit to the Service, such as assignments, responses, messages, and feedback.
- “Student Data” means personally identifiable information relating to a Student, as further described in our Privacy Policy.
3. Eligibility & Accounts
Age and student access
The Service is designed for learners in grades 6–14 and for institutional and adult users. Students typically access the Service through an Institution that has authorized their use. Where a Student is under the age of 13, the Institution or the parent/guardian provides any consent required under the Children's Online Privacy Protection Act (COPPA), and Core-LX acts under the direction of the Institution as described in our Privacy Policy. Individuals under 18 who are not accessing the Service through an Institution must have parental or guardian permission.
Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information, keep it current, and notify us promptly of any unauthorized use. Where you sign in through a single sign-on or roster provider, the “Single Sign-On & Authentication” section of our Privacy Policy applies.
4. Institutional Accounts & Authority
When the Service is provided to Students and Educators through an Institution, the Institution is our customer and controls the accounts, rosters, and educational records associated with its users. The Institution is responsible for obtaining any consents required by law, for designating authorized users, and for use of the Service by its users. Core-LX acts as a service provider and, with respect to education records, as a “school official” with a legitimate educational interest under FERPA, processing Student Data on the Institution's behalf and under its direction.
5. License to Use the Service
Subject to these Terms and any Institutional Agreement, Core-LX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended educational purposes. You may not:
- Copy, modify, distribute, sell, lease, or create derivative works from the Service or its content except as expressly permitted;
- Reverse engineer, decompile, or attempt to extract source code, models, or underlying data, except where such restriction is prohibited by law;
- Access the Service to build a competing product, or scrape or harvest content or data;
- Circumvent access controls, usage limits, or security features;
- Resell, sublicense, or provide the Service to third parties outside your authorized Institution.
6. Acceptable Use
You agree not to use the Service to:
- Violate any law or the rights of others, including intellectual property and privacy rights;
- Upload or transmit content that is unlawful, harassing, defamatory, obscene, hateful, or otherwise objectionable;
- Cheat, plagiarize, or misrepresent academic work, or help others do so;
- Introduce malware, disrupt, or overload the Service or its infrastructure;
- Attempt to gain unauthorized access to accounts, systems, or data;
- Misuse AI features, including attempts to bypass safety controls or generate prohibited content.
We may investigate and take appropriate action, including removing content and suspending or terminating access, for violations of this section.
7. User Content
You (or your Institution) retain ownership of User Content. You grant Core-LX a limited, worldwide, royalty-free license to host, store, reproduce, display, and process User Content solely to operate, provide, secure, and improve the Service and as directed by your Institution. We do not claim ownership of Student work, and we handle Student Data in accordance with our Privacy Policy and any Institutional Agreement.
If you submit suggestions or feedback, you grant us a non-exclusive, perpetual, royalty-free license to use that feedback to improve the Service without obligation to you.
8. AI Features (Lexi+Socrat)
The Service includes AI-assisted tutoring and authoring features, including Lexi+Socrat. By using these features, you understand and agree that:
- AI output is advisory and may be inaccurate. AI-generated responses can be incomplete or incorrect and should be reviewed by a qualified Educator. AI features do not replace professional educational, medical, legal, or career advice.
- Human oversight. Final instructional and grading decisions rest with Educators and the Institution, not with the AI.
- No model training on your data. Student interaction data is not used to train the AI providers' foundation models, as described in our Privacy Policy.
- Safety. AI tutoring used by learners under 18 includes safety guardrails and crisis-routing measures; you agree not to attempt to circumvent them.
- Acceptable use. You will not rely on AI features for high-stakes decisions without independent human review, and you will not use them to generate prohibited content.
9. Intellectual Property
The Service, including its software, text, graphics, course content, and trademarks, is owned by Core-LX or its licensors and is protected by intellectual property laws. Courses and materials provided by third-party content providers remain the property of those providers. Except for the limited license granted above, no rights are transferred to you. Unauthorized reproduction, distribution, or modification is prohibited.
10. Third-Party Services and Content
The Service integrates with and may display third-party services and content, including learning management systems (via the LTI standard), single sign-on and roster providers, and videos served through YouTube's official embedded player using YouTube API Services. Your use of third-party services is governed by their own terms and privacy policies.
- By using our platform and any embedded YouTube content, you agree to be bound by the YouTube Terms of Service.
- Google's handling of data collected through YouTube is described in the Google Privacy Policy. How Core-LX accesses and stores YouTube data is described in the “Third-Party Services” section of our Privacy Policy.
Third-party content is owned by its respective rights holders. Core-LX does not control and is not responsible for the availability, accuracy, or content of third-party materials or services.
11. Privacy & Student Data
Our collection and use of personal information is described in our Privacy Policy. Institutions retain ownership of Student Data; Core-LX acts as custodian and processes it solely to provide the Service. We comply with applicable student-privacy laws, including FERPA and COPPA, and will execute a Student Data Privacy Consortium (SDPC) National Data Privacy Agreement (NDPA) or an Institution's equivalent data privacy agreement upon request. We do not use Student Data for advertising or behavioral targeting.
12. Fees & Subscriptions
Access to the Service by an Institution is governed by the fees, term, and payment terms set out in its Institutional Agreement or order form. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes. Authorized Students and Educators generally are not charged for access provided through their Institution. Free trials, pilots, and research pilots may be subject to additional terms.
13. Term, Suspension & Termination
These Terms apply while you use the Service. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or if required to protect the Service or its users. Institutions may terminate as provided in their Institutional Agreement. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive. Handling of data after termination is described in the “Data Retention” section of our Privacy Policy.
14. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that content (including AI-generated output) will be accurate or complete. You are responsible for evaluating the suitability of the Service for your purposes.
15. Limitation of Liability
To the maximum extent permitted by law, Core-LX and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amounts paid to Core-LX for the Service during the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100) if no amounts were paid. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Core-LX from claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service or your violation of these Terms or the rights of a third party. This section does not apply to the extent a User is a public entity legally prohibited from providing indemnification; in that case, each party remains responsible for its own acts and omissions to the extent required by applicable law.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@corelearningexchange.com. If a dispute is not resolved within 30 days, it will be subject to the exclusive jurisdiction of the state and federal courts located in Denver County, Colorado, and you consent to venue there.
This section does not require any public school, district, or governmental Institution to agree to a governing law, venue, or dispute-resolution process that is prohibited by the laws that govern it; for such Institutions, applicable law and their Institutional Agreement control.
18. Changes to the Service and Terms
We may modify the Service and these Terms from time to time. Material changes will be posted on this page with an updated “Last Updated” date, and we will provide notice where required. Continued use of the Service after changes take effect indicates acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
19. General
These Terms, together with the Privacy Policy and any Institutional Agreement, are the entire agreement between you and Core-LX regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
